Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and ChaiSpend LLC ("ChaiSpend," "we," "us," or "our"). By creating an account or using our mobile application or website (collectively, the "Service"), you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time. If we make material changes, we will notify you via email or in-app notification at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance.

You must be at least 18 years old to use ChaiSpend. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

To use ChaiSpend, you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your login credentials secure and confidential
• Notify us immediately at support@chaispend.com if you suspect unauthorized access to your account
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

ChaiSpend is a personal finance application that provides budgeting tools, spending tracking, daily spending allowance calculations, AI coaching, savings goal tracking, and related features. The Service includes:

• Connecting to your financial institutions through a secure bank data provider to retrieve account and transaction data, and to external accounts (payment platforms, cryptocurrency exchanges) via API integrations
• Calculating daily spending allowances based on your income, bills, and goals
• AI-powered financial insights and recommendations
• Savings goal tracking and progress monitoring
• Transaction categorization, rules, and spending analysis

ChaiSpend is a financial tracking and budgeting tool. It is not a financial advisor, tax advisor, investment advisor, or licensed financial professional.

The information, calculations, and AI-generated suggestions provided by ChaiSpend are for informational purposes only and should not be relied upon as financial, investment, tax, or legal advice. Your daily spending allowance, savings projections, and AI recommendations are estimates based on the data you provide and may not reflect your complete financial picture.

Before making significant financial decisions, consult with a qualified financial advisor, tax professional, or other appropriate professional.

Free trial

New users receive a 21-day free trial with full access to all features. No payment is required during the trial period.

Subscription plans

After the free trial, continued access requires a paid subscription. Subscription plans and pricing are displayed in the app and on our website. Prices may change, but we will notify you before any price increase takes effect on your account.

Billing

Subscriptions are billed through the Apple App Store, Google Play Store, or Stripe, depending on your platform. Payment terms are governed by the applicable platform's terms. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.

Cancellation

You may cancel your subscription at any time through your device's app store settings or through your account settings. Upon cancellation:

• You retain access to the Service through the end of your current billing period
• No partial refunds are provided for unused time
• Your data remains accessible until you choose to delete your account

Refunds

Refund policies are governed by the Apple App Store or Google Play Store terms, depending on where you purchased your subscription. For subscriptions purchased through our website, contact support@chaispend.com within 14 days of purchase for a full refund.

ChaiSpend integrates with third-party services to provide its functionality:

• Bank data aggregation provider: used to connect to your financial institutions via certificate-secured connections
• External account providers: payment platform and cryptocurrency exchange integrations use OAuth or API key authentication to sync your account data in read-only mode
• AI language model provider: powers the AI assistant. Chat messages and financial context are processed to generate responses.
• Apple App Store, Google Play, and payment processors: used for subscription management, billing, and app distribution

We are not responsible for the practices or availability of third-party services. If a third-party service experiences downtime or changes its terms, it may affect the functionality of ChaiSpend.

ChaiSpend relies on data from your financial institutions, delivered through third-party aggregators. While we strive for accuracy:

• Transaction data may be delayed, incomplete, or occasionally inaccurate due to factors outside our control
• Account balances shown in ChaiSpend may not reflect pending transactions or real-time balances
• AI-generated categorizations and insights are automated and may contain errors

You should always verify important financial information directly with your financial institution.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems, other users' accounts, or connected financial institutions
• Reverse engineer, decompile, or disassemble the Service
• Use automated scripts, bots, or scrapers to access the Service
• Share your account credentials with others or allow others to access your account (use the Household Sharing feature instead)
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to transmit malware, viruses, or other harmful code

The Service, including its design, features, code, content, and branding, is owned by ChaiSpend LLC and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes in accordance with these Terms. This license does not include the right to:

• Copy, modify, or distribute any part of the Service
• Use ChaiSpend's name, logo, or branding without written permission
• Create derivative works based on the Service

Your financial data remains yours. We claim no ownership over the data you provide or that is retrieved from your financial institutions.

You may delete your account at any time through the app settings or by contacting support@chaispend.com. When you delete your account:

• All personal and financial data is permanently deleted from our systems within 30 days
• Active subscriptions should be cancelled separately through your app store to avoid continued billing
• Deletion is irreversible. We cannot recover your data after deletion is complete.

To the maximum extent permitted by law, ChaiSpend LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:

• Financial decisions made based on information provided by the Service
• Inaccuracies in transaction data, balances, or calculations
• Service interruptions or unavailability
• Unauthorized access to your account due to your failure to secure your credentials
• Actions or omissions of third-party services (including bank data providers and financial institutions)

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid to ChaiSpend in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the accuracy or completeness of any financial data, calculations, or AI-generated content.

You agree to indemnify and hold harmless ChaiSpend LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or third-party rights

These Terms are governed by the laws of the State of Utah, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Utah or remotely, at your election.

You agree that any dispute resolution will be conducted on an individual basis and not as part of a class, consolidated, or representative action.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
